Simulator and Broker Connection Agreement
DRAFT — NOT EFFECTIVE. Planned Phase 3 terms. Verify implementation and replace brackets before publication.
In short
- This is a free, private test app. Its simulated trades use pretend money.
- Nothing here is advice. Results can be wrong and do not predict your returns.
- Connecting a broker account gives the server access. Encryption does not keep the operator out.
- The unofficial connection can fail or cause broker restrictions. Check your account yourself.
- Access can end at any time. Disconnecting removes stored credentials, but agreement, audit, and trade records remain.
1. What this app does
[OPERATOR NAME] runs this self-hosted, free private beta for invited friends, without a company. Everyone, including the operator, must accept these terms.
The app turns professional traders' private Discord alerts into stock or options ideas. Only traders with written permission agreements may have alerts shared here. Paper books use pretend money and the operator's entry, stop-loss, profit-taking, and end-of-day rules.
You may watch the simulator and connect your Robinhood account for observation when available. Connection does not authorize trading. Live trading defaults to off and requires a separate agreement, your opt-in, and operator approval.
2. What can go wrong
Nothing in this app is investment, financial, tax, or legal advice. The operator is not a licensed adviser or broker. The traders are not the operator's employees or agents. You choose whether to use this tool. Past results do not predict future results.
Alerts can be misread, delayed, duplicated, or missed. Prices and results can be inaccurate. Simulated fills may be impossible in a real account. The service can change, pause, or stop without guaranteed accuracy, uptime, or availability. The operator may remove access at any time without giving a reason.
This app uses an unofficial Robinhood connection. Robinhood's published policy requires written authorization for trading API connections. Your consent does not supply that permission. Robinhood may challenge, restrict, lock, or close your account. You accept these risks if you connect it.
3. What we store about you
We keep your username, role, invitation record, login sessions, trade history, and an audit trail of account actions. Agreement records include the version, date, time, IP address, browser identifier, and phrase you typed.
For a connected account, we encrypt the broker username, account number, and session token. Your broker password is not stored by default. It is encrypted and retained only if you expressly choose password storage.
Encryption protects credentials when the database alone is copied without the keys. It does not protect against full server access. The operator controls the server and can technically access credentials and connected accounts. The dashboard does not display passwords to admins, but that is not protection from the operator. You are trusting the operator and server for as long as the account is connected.
4. Who controls access
The operator and appointed admins can pause connections, wipe credentials, set live limits, and enable or disable live access. Admins are trusted people, not a company. They cannot replace your live opt-in.
They can see your connected live positions and dollar results. They do not see your broker password through the dashboard.
5. Your responsibilities
You must be an adult where you live. Any connected account must belong solely to you, have the required options approval, and be lawful for you to use with this app.
You are responsible for account trades, taxes, protecting logins, and regular account checks. This does not remove legally protected rights.
Connection or reconnection may need a phone approval or broker code. Without it, a dead connection stays dead. The app cannot manage open positions, run stops, or close at day-end. Unmanaged positions can lose money; use your broker directly.
6. Turning it off
You may request disconnection at any time. Completion requires confirmed empty positions and no pending orders; otherwise close or cancel them first. Disconnect attempts broker-session revocation and erases active stored credentials and their encryption key. If revocation fails, remove the session through Robinhood too.
Agreement records, the audit trail, and trade history remain. [ASSUMPTION: Confirm backup/key deletion and record-retention periods before publication; immediate erasure from every backup is not promised.]
7. Responsibility and governing law
To the extent the law allows, the operator and traders are not liable for trading losses, missed or wrong trades, misread alerts, broker outages, or app downtime. This does not excuse fraud, intentional wrongdoing, gross negligence, or duties and rights the law does not let anyone waive.
[LIMITATION OF LIABILITY AND INDEMNITY LANGUAGE — LAWYER TO REVIEW: decide whether any narrow third-party reimbursement duty is appropriate.]
Governing law: [JURISDICTION AND GOVERNING LAW — LAWYER TO CONFIRM].
8. Changes to this agreement
You must accept a new version when the text changes before continuing ordinary use. Agreement changes must not block safety controls or management of existing positions.
Acceptance: Typing I understand this is a simulator and clicking Accept means you intend to enter a binding agreement with the operator. The app records the version, phrase, date, time, IP address, and browser. This draft cannot be accepted.
For the operator's lawyer: Review the advice disclaimer, actual activities, liability limits, indemnity, governing law, electronic signatures, privacy, retention, broker authorization, and trader permissions. Resolve placeholders and verify promised controls.
