Live Trading Authorization and Risk Agreement
DRAFT — NOT EFFECTIVE. Planned Phase 3 terms. Verify implementation and replace brackets before publication. This draft does not authorize trading.
In short
- This app can place real orders without asking you about each trade. You can lose all the money in the connected account.
- Short-term options, especially options expiring today, are extremely risky. Stops and spending limits do not guarantee a maximum loss.
- You and the operator must both enable live trading. An ordinary pause stops new trades; a dead connection or emergency shutdown also stops automated exits.
- The connection is unofficial. You trust the operator with server-level access to your broker account, even though dashboard passwords are hidden.
- Watch your broker account and account alerts. You remain responsible for trades and taxes; the app may fail or stop at any time.
1. What this app does
[OPERATOR NAME] runs this self-hosted, free private beta for invited friends. There is no company or public offering.
The app turns professional traders' private Discord alerts into stock or options ideas. Only traders with written permission agreements may have alerts shared here. Paper books use pretend money and the operator's entry, stop-loss, profit-taking, and end-of-day rules.
Live trading uses your own Robinhood account and money. Only enabled products can be traded; paper stocks do not establish live stock support. This supplements the Simulator and Broker Connection Agreement with live-trading permission.
2. Your permission and two approvals
Live trading defaults to off. You must accept this agreement, set limits, and opt in. The operator must separately approve and enable your account. Both approvals and readiness checks are required. Connecting or accepting simulator terms is not enough.
You authorize supported orders, changes, and cancellations under the configured rules and your limits, without approval for each trade. Trades can occur while you sleep. Read the rules and settings first.
You or an admin may stop new trades. Admins cannot supply your opt-in. Their approval does not establish suitability.
3. What can go wrong
You can lose the entire amount in the connected account. This strategy trades short-term options, often expiring the same day. These are among the riskiest trading products. Their value can fall to zero quickly. Depending on your account and positions, margin or exercise obligations may create further losses or amounts owed.
A stop-loss is an instruction to attempt an exit, not a guaranteed price. Prices can jump past it, orders can remain unfilled, and a halt or closed market can prevent an exit. The operator reports that, in their own records, stops failed to hold about one time in three. [ASSUMPTION: Confirm the sample dates, trade count, live-versus-paper basis, and meaning of “failed to hold” before publishing this statistic.] It is not a forecast of your odds.
The app can misread an alert, select the wrong contract, miss an update, use stale data, or submit a wrong or duplicate order. Software, network, broker, and server failures can delay both entries and exits. End-of-day closing can fail. Check positions through Robinhood; an app display is not proof that an order filled.
Accounts may follow the same alert seconds apart. Timing, funds, prices, partial fills, and settings produce different results. The operator's returns, paper trades, and past results do not predict yours.
4. No advice or service promises
Nothing here is investment, financial, tax, or legal advice. The operator is not a licensed adviser or broker. Traders are not the operator's employees or agents. This is an automated tool you choose to use.
The free beta can change, pause, or end at any time. No accuracy, uptime, availability, or profit is guaranteed. The operator may remove your access without giving a reason. Losing dashboard access does not mean positions have closed. Use your broker and contact the operator if you cannot check or control the account.
5. Account requirements and trading limits
You must be an adult where you live, the sole owner of the account, approved for the options being traded, and legally allowed to use the app and trade these products where you are.
The proposed app policy requires a dedicated cash account or an account with at least US $25,000 in equity. [ASSUMPTION: The operator must confirm this proposed eligibility policy before launch.] The $25,000 amount is an app policy, not a statement of Robinhood's current day-trading minimum. You must also meet the broker's current equity, buying-power, settlement, and options requirements. Restrictions can disrupt trading; neither eligibility nor a cash account guarantees an exit.
Before enabling live trading, set maximum spending per trade, maximum daily loss, and maximum open positions. The operator sets ceilings you cannot exceed. The app refuses new trades that fail these checks using the information available to it.
These checks do not guarantee a maximum account loss. Already-open positions can keep losing, prices can move before an order fills, and data can be delayed. Lowering a limit does not itself close existing positions. Review account conditions and reduce or stop new trading when necessary.
One brokerage login may be connected only once. Do not share it or run another automated trading tool against it at the same time. Keep direct access to Robinhood for monitoring and emergency action.
6. The unofficial connection and phone approvals
This app uses an unofficial Robinhood connection, not Robinhood's supported Agentic Trading connection. Robinhood's published policy requires its written authorization for trading API connections and restricts third-party control. Your agreement with the operator does not provide Robinhood's permission. Robinhood may challenge, restrict, lock, or close your account. You accept that account risk.
Connecting or reconnecting may require a prompt on your phone or a code from the broker. If you do not complete approval, a dead connection remains dead. The app then cannot run stop-losses, take profits, or close at day-end. Open positions can lose money while unmanaged. Review and manage them directly through Robinhood; do not wait for the app to recover.
Keep [ACCOUNT-ALERT CONTACT CHANNEL AND ADDRESS/HANDLE] reachable and read alerts promptly. [ASSUMPTION: Confirm a supported route; email and Discord DMs are not established.] Alerts can fail; check your account yourself.
7. What we store and who can see it
We retain your username, role, invitation record, login sessions, trade history, and an audit trail of account actions. Acceptance records include the agreement version, date, time, IP address, browser identifier, and the phrase you typed.
The broker username, full account number, and session token are stored encrypted. Your broker password is not stored by default. Only your express opt-in permits encrypted password storage. You can later request that the stored password be forgotten.
The operator and appointed admins can see positions, orders, fills, dollar profit and loss, the account number's last four digits, and a masked broker username. Your own live results are visible to you in dollars. The dashboard does not show admins your broker password.
Encryption protects credentials if someone copies the database alone without the keys. It does not protect against full control of the server. The operator has that control and can technically decrypt stored credentials or access connected sessions. A server attacker could do the same. You trust the operator and server with brokerage access for as long as it is connected. Hidden dashboard passwords do not change this.
An appointed admin is a person the operator trusts, not a company. Admins can pause, disarm, set ceilings, request supported closing actions, and wipe connections subject to the app's controls. They cannot replace your live opt-in. Server-level control is a separate, stronger power than the dashboard role.
8. Turning it off and disconnecting
Your live-off control, an admin pause/disarm, or the ordinary entry master switch stops new entries. Stop-losses, profit-taking, and end-of-day exits continue for existing positions while the connection and execution service work. A pause does not instantly cancel every pending order or guarantee an account is empty; inspect both orders and positions.
The separate emergency all-execution switch stops exits too. A dead broker session, outage, or credential wipe also prevents automated management. In those cases you must use Robinhood directly. Do not assume every control labeled “off” leaves exits running.
You can request disconnection at any time. Completion requires a fresh broker confirmation of no open positions, pending orders, or unfinished trading actions. Closing first may take time and may have to wait for the market. If the app cannot confirm the account is empty, use the broker and contact the operator.
Disconnect attempts broker-session revocation, erases active stored credentials and their encryption key, and ends the connection. If broker revocation fails, remove that session through Robinhood too. Local deletion alone cannot prove broker access has ended.
Agreement records, the audit trail, and trade history are kept as the record of what happened. [ASSUMPTION: Confirm retention periods and backup/key deletion procedures; immediate deletion from all backups is not promised.]
9. Your responsibilities and liability
You are responsible for every trade the app places in your account, checking orders and positions regularly, keeping login details safe, maintaining eligibility and reachable alerts, and handling taxes. Use only money you can afford to lose.
To the extent permitted by law, the operator and traders are not liable for trading losses, missed or wrong trades, misread alerts, broker failures, or app downtime. This does not excuse fraud, intentional wrongdoing, gross negligence, or duties and rights that cannot legally be waived.
[LIMITATION OF LIABILITY AND INDEMNITY LANGUAGE — LAWYER TO REVIEW: if appropriate, limit reimbursement to lawful, reasonable third-party claims caused by your unlawful use or intentional breach, exclude others' fault, and specify notice and defense rights. No unlimited reimbursement duty is finalized here.]
Governing law: [JURISDICTION AND GOVERNING LAW — LAWYER TO CONFIRM]. This agreement does not override broker rules or make otherwise unlawful activity lawful.
10. Changes to this agreement
If the text changes, you must accept the new version before new live trades resume. Existing-position management and safety controls must remain available under the conditions above. No acceptance of new terms should be inferred from silence or an existing open position.
Acceptance: By typing I understand I can lose money and clicking Accept, you intend to enter a binding agreement with the operator and give the permission described here. The app records the version, typed phrase, date, time, IP address, and browser. Operator approval remains separately required. This draft cannot be accepted.
For the operator's lawyer: Review the advice disclaimer, actual service, licensing, liability limits, indemnity, governing law, and electronic signatures. Check broker/trader permissions, privacy, retention, the stop statistic, eligibility, and promised controls. Free use among friends and disclaimers do not establish a regulatory exemption.
